Terms of Use

These Terms govern access to and use of the Orion desktop application. Orion is provided by OrionOS, Inc., subject to any applicable Order Form or other written agreement with your organization.
1. Agreement and authority
By accepting these Terms or using Orion, you agree to these Terms for yourself and, if you use Orion for an organization, on behalf of that organization. You represent that you have authority to do so.
2. Access and license
Subject to these Terms and any applicable written agreement, OrionOS, Inc. grants authorized users a limited, non-exclusive, non-transferable right to use Orion for the organization's internal professional work during the applicable subscription or evaluation period.
3. Local and private by design
Orion is a fully local desktop application. Workspace files, documents, matter information, prompts, conversations, citations, narratives, and generated outputs are Customer Content and remain on the user's device. OrionOS, Inc. does not receive Customer Content and therefore does not and cannot collect, access, view, store, retain, index, analyze, use, disclose, sell, or train on it.

4. Professional responsibility
Orion is a work-support tool. It does not replace professional judgment, and OrionOS, Inc. does not provide legal advice through the software.
You are responsible for reviewing source materials, citations, generated content, confidentiality obligations, court rules, and professional-responsibility requirements before relying on or sharing an output.
5. Private and proprietary software
Orion and its non-public software, designs, documentation, interfaces, and materials are proprietary and confidential to OrionOS, Inc. Except as expressly authorized in writing, you may not:
- copy, distribute, share, disclose, sublicense, sell, rent, or otherwise provide Orion or its non-public materials to a third party;
- reverse engineer, decompile, disassemble, decode, translate, or attempt to derive source code or non-public interfaces from Orion;
- circumvent licensing, authentication, access-control, usage-limit, security, or integrity mechanisms in Orion; or
- remove or obscure proprietary notices from Orion.
6. Security and acceptable use
You may not use Orion to violate law, another person's rights, or your organization's policies; gain unauthorized access to accounts, systems, or data; introduce malicious code; or materially interfere with the operation or security of Orion.
Protect account credentials and promptly notify your organization or OrionOS, Inc. if you reasonably suspect unauthorized access.
7. Suspension and termination
Access may be suspended or terminated when a subscription ends, an organization removes a seat, continued use creates a material security risk, or these Terms or an applicable written agreement are materially breached. Rights that by their nature should survive termination remain in effect.
8. Commercial and legal terms
Applicable fees, service commitments, warranties, indemnities, liability limits, governing law, and dispute terms are addressed in the Order Form or other written agreement with your organization.
9. Changes and contact
Orion may present updated Terms when product, legal, or security requirements materially change. A new displayed version requires a new acceptance before workspace access resumes.
